Avatar” also referred to as (AV), is a visual used to represent non-visual concepts, ideas, or a
person or entity. Such as an in-game player-character.

Skeleton” also referred to as armature or rig, is the set of interconnected bones used to
animate and pose a mesh.

Skeletal Animation” in this instance will be referred to as “animation(s).” It is a form of
animation in which an armature/skeleton is used to set a mesh or avatar in motion.

Mesh” is a three-dimensional (3D) construction of faces, edges, and vertices to create a definitive shape.
Meshes are but not limited to STL, OBJ, FBX, COLLADA, 3DS, IGES; STEP and VRML/X3D.

"Rigged Mesh" is any 3D object (mesh) that bends with an avatar.

"Animated Mesh“ also known as animesh is a rigged mesh object that bends with the armature/rig and
    may be animated or moved independently from an avatar.

Non-Rigged Mesh“ is also referred to as a static mesh, this mesh will not move or bend
    with an armature, skeleton, or avatar.

Texture” refers to the visual representation atop of 3D models to convey surface detail. They are but not limited to PSDs [(Adobe) Photoshop Data file], JPG, PNG, GIF, WEBP, TIFF, RAW,BMP, HEIF, INDD, JPEG 2000, SVG, AI, EPS, and PDF.

UV Map” is the two-dimensional (2D) representation of a 3D model or surface to create
    and wrap textures.

Ambient Occlusion Map” also known as an AO Map is a gray-scale soft-shadow representation of light
    data for a 3D object or mesh.

The page is subject to change and will be used to define the usage and permissions of all AMBIX sourced content. By purchasing AMBIX sourced content the user agrees to the following conditions. Failure to abide by these terms may result in termination of usage and or contracts made between all parties.

This documentation is and was written in English. It is intended for English speakers, and it is the client’s responsibility to recognize and understand all communication and agreements between the seller, associated third parties and this document. AMBIX reserves the right to refuse and/or refuse and refund service for any reason at any time. Failure to abide by these terms may result in termination of usage as well as all other contractual bindings. All commissioned work may have the potential to be displayed publicly - I.E. Utilized in a portfolio or shown privately. Potential clients must alert AMBIX prior to work being started on a project if a project is to be private. AMBIX reserves the right to refuse a project for this reason. Clients may always request to remain anonymous - before or after the project has been started. AMBIX creates content with the intent for it to be utilized with the Second Life game engine. Therefore, AMBIX cannot ensure that content created for Second Life will be able to be anonymously utilized with any other game engine.

[ Privacy Disclosure ]↴
Any information exchanged between the client(s) and AMBIX through any means will be transcribed and kept indefinitely. The information exchanged between all involved parties are strictly for business purposes and transactions. Information will not be brokered or provided to non-affiliated parties other than where it may be required. Usernames, monetary exchanges, and dates of exchanges will be kept on record indefinitely. Names and associations may be listed publicly for compliance purposes.

[ Third-Party Disclosure ]↴
If a project requires our third-party contacts, the third-party will be contacted to retrieve an estimate of cost. Once an estimate has been received it will be provided to the client before the exchange of any goods, services, or legal tender. If  additional services are required for a project after an exchange is made – the same process will occur. If the client disagrees with the additional fees for additional services, AMBIX withholds the right to incorporate the changes or requests of the client.

In order to sign this contract, you must be the legal age of 18 to enter in a valid contract.  If you are not above the age of 18, we  will not be able to fulfill your request/application and it will be deleted/destroyed.  You must have a parents or legal guardian present and their permission to fill out a valid application.

[ Services Offered ]↴
Graphic Art & Visual Art:  Graphic and visual art may encompass multiple areas of expertise and will vary based on time and complexity of the project. Examples include but are not limited mesh textures, 2D sketches, images, logo, and HUD design.

Texture Art: Texture art encompasses but is not limited to the creation and representation of shadows, highlights , textures and designs on characters, environments, and props.

3D Modeling: 3D Modeling may also encompass the above, however the result will be a three-dimensional representation of the project in question. All forms of mesh are accepted, rigged, unrigged, and animated mesh are all applicable and available for different rates depending on complexity and time constraints.

Meshes will always include an UV Map, AO Map, Diffuse Map, Normal Map, and  a Specular Map.
Hand painted textures will be priced based on hourly rates.

Animating:  Rotating and moving 3D objects (Mesh) in a three-dimensional space.

Animated or Rigged content may have up to three (3) standard animations.
Additional animations will be priced at an hourly rate.
The file type for animations will be provided as .anim unless otherwise specified.

[ Definitions ]↴
Below is a list of repeating terms that may occur through the course of this document.

AMBIX” is the name of the brand that is owned solely by Styxx Starchild, (Styxx/AmbiQT/UmbieQT) – the payee or seller. The client will be commissioning the brand and all other parties associated with said brand. AMBIX may outsource parts of the creation process that includes but is not limited to the following: audio design, visual art, visual design, and coding. Additionally, AMBIX, may refer to themselves as "our", "we", "I", and "myself" and other personal pronouns when addressing the client or a representative of the client.

Client” also referred to as customer/commissioner/consumer, is the payer – the person providing a monetary exchange for goods and/or services. A client may have other third parties communicate with AMBIX, however final decision making is between the client and AMBIX. If the client wishes to have additional parties speak on their behalf AMBIX must be notified. Failure to notify AMBIX or AMBIX's third parties that may be involved with the product; may nullify any contractual agreements in the event false or invalid information was presented to AMBIX whilst starting a project.

Project” will refer to any or all the items, goods or services exchanged from the payee
to the payer.

Payment is required in full,  prior to work being started.

AMBIX  accepts two forms of payment, is in-game currency and PayPal when in-game currency is not available.
In-game currency will be assessed at the current exchange rate.
Payment plans are ONLY available for any contract over $500.00 USD.

*PayPal will require payment in United States Dollars (USD).

[ Pricing & Licensing ]↴
Custom work will be a flat rate until a certain level of hours of worked depending on the licensing type.
Please refer to the type of licensing below for more details.
The client must ALWAYS credit work back to AMBIX.
The client is not permitted to claim AMBIX's work as their own.
If AMBIX is permitted to redistribute content for commercial purposes, a project's cost may be reduced.
All prices are calculated in United States Dollars (USD).

[ Discount Rates ]↴
AMBIX may provide a discounted rate up to 30% off the original project's closing price.
To receive this discount, the client must agree to and permit AMBIX to claim all intellectual rights to the project.
Meaning AMBIX will retain all rights to the project and will be able to distribute the project commercially or non-commercially.
In Summary, AMBIX may be able to re-use, reupload and/sell copies of the mesh either commercially or privately – for unlimited amount of time and distributions.

Starting-Rate: $300.00
Discounted Flat Rate: $50.00
With a standard license the client(s) is/are permitted to use the asset(s) personally. Clients disallowed to redistribute assets to third parties, nor are they allowed to profit directly from work produced by AMBIX.

An .OBJ  3D file with a rendered .PNG image will be provided to the client, alongside with .anim files if an asset is rigged.

[ Commercial License ]↴
Starting-Rate: $500.00
Discounted Flat Rate: $150.00
With a commercial license the client(s) is/are permitted to use the asset(s) they have commissioned as they wish. The only requirement is that AMBIX is credited with the creation of the asset(s) in the product credits and listing.
A Blender file will be included and provided to the commissioner alongside with either a .SPP file or a working PSD file for photoshop.

[ Back-Ups and Copies ]↴
It is up to the buyer to keep back-ups of their requests/commissions.
AMBIX will not refund for lost items and will only retain a backup of the work up to 30 days from distribution.
If the client requests that additional copies are distributed to other users, the client or the 3rd party must pay at least 50% of the original price of the project.

AMBIX utilizes the following programs for creation.
If a client utilizes  different programs or methodology for content creation, it is up to them to locate and obtain the licenses if they intend on working with our files. AMBIX will NOT convert them for the client. We use the following programs:
Blender | Paint Tool SAI | Photoshop | Substance Painter | ZBrush

[ Contact disclosure | Status Updates & Revisions]↴
AMBIX will primarily use the chat client Discord to communicate with the client and provide updates and works in progress (WIPs).
Types of communication will include text, audio, and video chatting as the primary sources of communication.

The client will be given up to three revisions at zero-additional cost.
After the third revision, the client will be charged 10% of the final cost of the project per each revision.

AMBIX reserves the right to withhold , record and distribute client conversations and interactions as it pertains to legal matters.

[ Timelines & Due Dates ]↴
All AMBIX commissioned projects will require at least 3 months for completion, projects may be completed and submitted to the client early. The timeline begins once the project has been started and the client will be alerted. Clients are permitted and encouraged to inquire on the status of their commission. Harassing behavior will result in the termination of contract and the client may be refunded less than half of what was paid as well as given the project in its current state.

[ Commissioners Rights ]↴
Commissioners have the right to the following.
Refunds & Cancellations:
Commissioners have the right to request a refund if the project is (A). Not yet started, (B). Not completed within the timeline set between the client and the artist. In no other scenario will AMBIX allow refunds.

[ Artist's Rights ]↴
AMBIX reserves the right to cancel a project and offer a refund at any time.
Filing for a charge-back at ANY point or for ANY reason, after work has begun - will result  in the following:
Ban from Stores/Locations/Events/social media/Chat Clients/Etc. that AMBIX has a significant role in.
A Public Black-List viewable on any social venue.
